Unique Catalyst LLC

Terms of Service

Version 1.1 · Effective October 6, 2026 · Last updated October 6, 2026

These Terms of Use ("Terms") are an agreement between you and Unique Catalyst LLC, a California limited liability company, 121 Bernal Road STE 80, San Jose, CA 95119 ("Unique Catalyst," "we," "us"), for use of Catalyst Learning, Catalyst Hub, the Catalyst Circles Community website, and related programs (the "Services"). By creating an account, enrolling, or using the Services, you agree to these Terms and acknowledge our Privacy Policy.

1. Eligibility and accounts.

You must be at least 18. Provide accurate information, keep your login private, and tell us right away if you think your account was accessed without permission. You are responsible for activity on your account.

2. Enrollment and access.

Your access depends on the program, cohort, or membership you enroll in or are invited to. Schedules, release dates and formats may change; we will tell you about important changes.

3. Payments.

Prices are shown at checkout in U.S. dollars and are processed by Stripe. Payment is due at enrollment unless we agree in writing to a payment plan.

4. No refunds; transfers.

• All tuition and fees are final and non refundable once paid, including if you withdraw, stop attending, miss sessions, or do not complete the program.

• Live cohort transfer: if you withdraw in writing (email hello@theuniquecatalyst.com) before the halfway point of your live cohort, you may make ONE of these one time changes, at no extra charge: (a) transfer to a future live cohort that starts within 12 months of your withdrawal, or (b) switch to the self paced program. Any price difference is not refunded. A transfer can be used only once and cannot be transferred to another person. After the halfway point, no transfer is available.

• Self paced programs are final once purchased and cannot be transferred.

• If Unique Catalyst cancels your program, or reschedules it and you cannot attend the new dates, you may choose a full refund or a transfer to another cohort.

• Duplicate charges or billing errors will be corrected.

• Please contact us before filing a payment dispute or chargeback. By enrolling, you confirm you were shown and agreed to this no refund policy. Filing a dispute for a charge covered by this policy may pause your access while it is reviewed, and we will provide your signed agreement to the payment processor.

5. Program completion and certificates.

Each program lists its requirements (for example attendance, hours, modules, assignments and fieldwork). Certificates are issued only after authorized staff confirm those requirements are met. A Catalyst certificate shows completion of our training. It is not a state license or government certification, and we do not guarantee employment, promotion, pay, licensure, or any particular result. We may correct, reissue or revoke a certificate issued in error or obtained through dishonesty.

6. Your records.

You can view your grades, hours, progress reports, and certificates in your account. If you believe a record is wrong, email us within 30 days of seeing it and we will review it.

7. Acceptable use.

Be respectful. Do not harass others, share other participants' personal information or session content outside the program, record sessions without permission, share your login, submit work that is not yours, upload harmful files, or try to access areas or records that are not yours.

8. Confidentiality in sessions.

Participants may share personal or community stories. What is shared in sessions stays in sessions. Do not repeat personal details that identify another participant or a community member.

9. Course materials.

All curriculum, workbooks, playbooks, videos, slides and other materials belong to Unique Catalyst or its licensors. You receive a personal, non transferable license to use them for your own learning. Do not copy, sell, post or distribute them.

10. Your content.

You keep ownership of what you submit. You give us permission to store, review, grade and display it as needed to run the Services. If you separately agree to share a testimonial, story or photo, you allow us to use it in our programs and marketing; you can ask us to stop future use at any time.

11. Third party tools.

Some activities use third party platforms (such as Big Interview, Teachable, Google Meet, Google Classroom and Stripe) that have their own terms. We are not responsible for those platforms.

12. Suspension or termination.

We may suspend or close an account for misuse, fraud, nonpayment, safety concerns, or serious violations of these Terms. You may close your account at any time by emailing us. Records we must keep (such as issued certificates and payment records) will be kept as described in the Privacy Policy.

13. Disclaimers.

The Services are provided "as is" and "as available." We work to keep them accurate and available but do not promise they will be error free or uninterrupted. Our training is educational and is not medical, legal, or financial advice.

14. Limitation of liability.

To the extent allowed by law, Unique Catalyst is not liable for indirect, incidental or consequential damages, and our total liability for any claim relating to the Services is limited to the amount you paid us in the 12 months before the claim.

15. Disputes.

Please contact us first at hello@theuniquecatalyst.com; most concerns can be resolved informally within 30 days. These Terms are governed by the laws of the State of California. Any dispute not resolved informally will be handled in the state or federal courts located in Santa Clara County, California, or in small claims court where eligible.

16. Changes.

We may update these Terms and will post the new version with a new effective date. For important changes, we will notify account holders and may ask you to accept again.
